By applying for and maintaining a wholesale account, you agree to these terms and conditions.

2. APPLICATION & APPROVAL PROCESS

2.2 Application Review

All wholesale applications are subject to Sud Factory's review and approval
We reserve the right to approve, deny, or terminate wholesale accounts at our sole discretion
Approval may take 5-10 business days from receipt of complete application

2.3 Account Activation

Approved wholesale accounts become active upon first qualifying order
Wholesale pricing becomes effective immediately upon account activation

4. RESALE RESTRICTIONS & GUIDELINES

4.1 Prohibited Platforms

Amazon Marketplace is strictly prohibited for all Sud Factory product sales
This includes Amazon FBA, Amazon Seller Central, and any Amazon-affiliated selling platforms
Violation will result in immediate account termination

4.2 Authorized Sales Channels

Your own business website
Physical retail locations and trade shows
In-person sales and demonstrations
Other online marketplaces (excluding Amazon)
Social media direct sales
B2B sales to other businesses

4.3 Geographic Distribution

No regional lockouts or exclusive territory restrictions
Worldwide distribution rights included
International shipping compliance is reseller's responsibility

5. PRICING & PAYMENT TERMS

5.1 Wholesale Pricing

Wholesale prices are confidential and not to be disclosed to competitors
Prices subject to change with 30 days written notice
Price protection for 60 days on inventory purchased at higher wholesale cost

5.2 Order Requirements

No minimum order requirements
Volume discounts available for orders exceeding $1,000
Free shipping threshold may apply (see shipping section)

5.3 Payment Terms

Net 30 payment terms for approved accounts with established credit
Credit card payment required for new accounts until credit is established
2% early payment discount if paid within 10 days

6. BRAND PROTECTION & MARKETING

Guarantee that all products sold are genuine Sud Factory merchandise
No alteration, repackaging, or private labeling permitted
Original packaging and labeling must remain intact

7. ORDER FULFILLMENT & SHIPPING

10. TERMINATION & SUSPENSION

Non-payment or credit issues

10.2 Termination Process

30-day written notice for most violations
Immediate termination for Amazon sales or trademark violations
Opportunity to cure certain violations within notice period

10.3 Post-Termination

Return or destruction of marketing materials
Cessation of all Sud Factory trademark usage
Final inventory purchase options may be available

11. LEGAL PROVISIONS

11.1 Limitation of Liability

Sud Factory's liability limited to product replacement value
No liability for consequential or indirect damages
Reseller assumes responsibility for end customer relationships

11.2 Indemnification

Reseller indemnifies Sud Factory from third-party claims
Coverage includes product liability and trademark infringement
Mutual indemnification for respective negligent acts

11.3 Dispute Resolution

Good faith negotiation required before formal proceedings
Binding arbitration for disputes exceeding $10,000

11.4 Force Majeure

Neither party liable for events beyond reasonable control
Includes natural disasters, supply chain disruptions, government actions

12. MODIFICATIONS & UPDATES
